- By accessing and/or using the Salt Platform Suite you agree to these Terms of Use (Salt Platform Suite Terms). If you do not agree to these Salt Platform Suite Terms you must immediately cease access and use of the Salt Platform Suite.
Introduction
- The Salt Platform Suite is developed by Kagami Digital Pty Ltd (ACN 669 663 834) trading as Salt (Salt, we, us, our).
- By accessing and/or using the Salt Platform Suite, any user or Integrating Client (you, user) agree to these Terms of Use (Salt Platform Suite Terms).
- From time to time, we’ll need to update these Salt Platform Suite Terms. When we do, we’ll publish the updated version on our Website. You should periodically visit the Website to review the then-current and effective Terms of Service, so you are aware of any Changes.
- At any time, you can submit a message to salt@salt.space to suggest updates to our Salt Platform Suite Terms that you feel are unclear, unfair or unreasonable.
- The Salt Platform Suite is available on an “as is” basis.
- To access and use the Salt Platform Suite, you agree that you:
- are at least eighteen years old,
- will take your own precautions when using the Salt Platform Suite to ensure your safety and the safety of your software and devices,
- have the legal capacity to agree to these Salt Platform Suite Terms,
- are responsible for seeking your own independent and professional advice regarding your eligibility to and use and access of the Salt Platform Suite according to laws applicable to you,
- if using the Salt Platform Suite on behalf of a legal entity (such as your employer), have the authority to bind that legal entity to these Salt Platform Suite Terms (and all references to ‘you’ and ‘your’ in these Salt Platform Suite Terms will be taken to be references to that legal entity),
- will not modify, copy, distribute, transmit, display, perform, reproduce, publish, license, commercially exploit, create derivative works from, transfer, or sell the Salt Platform Suite,
- will not use the Salt Platform Suite to further a commercial purpose in competition with us, unless written consent is obtained from us prior to any intended such use, and you are not granted or transferred any rights, title, or interest to the Salt Platform Suite other than a non-exclusive and royalty free limited licence to use the Salt Platform Suite, and
- will not do any act that we would deem to be inappropriate, is unlawful or is prohibited by any laws applicable to you and the Salt Platform Suite.
Who are we?
- Salt provides infrastructure for Self-Custodial crypto-token management.
- This means:
- You exclusively control your Private Keys and crypto-tokens.
- We never have access to, custody of, or control over your crypto-tokens or Private Keys.
- You are solely responsible for safely managing your Seed Phrases, passwords, and access to any wallets.
Our Services
- Our services (Services) consist of enabling users to organise Salt Accounts and allocate access levels to their collaborators.
- We supply a policy layer that assists in risk management of digital assets held in Salt Accounts.
- The following blockchain-based activities (Activities) can be undertaken by a person interacting with the Salt Platform Suite:
- create a decentralised MPC controlled account (Salt Account);
- collaborate with co-signers on a Salt Account using a smart contract;
- send a balance of crypto-tokens to another public address;
- interact with smart contracts on behalf of a Salt Account;
- delegate co-management of a Salt Account a person has created or controls.
- Activities do not constitute Services provided by us. The terms of your license to access and use each component of the Salt Platform Suite are or will be made available as each component is made available for access and use.
- Our Services do not consist of:
- activity regulated by the Australian Securities and Investments Commission (ASIC) or any other regulatory agency in any jurisdiction;
- coverage underwritten by any regulatory agency’s compensation scheme;
- custody of your Seed Phrase, Private Keys, crypto-tokens or the ability to remove or freeze your crypto-tokens, i.e. a Salt Account is a Self-Custodial wallet;
- the storage or transmission of fiat currencies;
- back-up services to recover your Seed Phrase or Private Keys, for whose safekeeping you are solely responsible; Salt has no means to recover your access to your crypto-tokens, when you lose access to your Salt Account;
- any form of legal, financial, investment, accounting, tax or other professional advice regarding our Services or Activities you undertake and their suitability to you;
- the responsibility to monitor authorised transactions or to check the correctness or completeness of transactions before you are authorising them;
- notifications about events occurring in or connection with your Salt Account;
- recovery of digital assets in your Salt Accounts;
- flagging malicious transactions; or
- issuance of any crypto-tokens and any related functionalities or reward programs.
User Acknowledgements
You acknowledge and agree that:
- all crypto-token balances deposited into Salt Accounts may be lost due to vulnerabilities in the Salt Platform Suite or any underlying technology providers, implementation, or security practices;
- at all times you are solely responsible for your own security, including Private Keys, wallet access, and recovery methods, and any loss or interception may result in permanent loss of access to your crypto-tokens;
- we do not facilitate recovery, freeze transactions, or provide financial guarantees;
- once a transaction is committed to the blockchain, it is final and irreversible and there is no possibility to refund crypto-tokens that have been spent or otherwise transferred;
- we will comply with law enforcement requests that are legal under Australian Law and where we are capable of doing so;
- you understand the inherent risks of cryptographic and blockchain-based systems and the high volatility of crypto-token markets;
- you are solely responsible for complying with any laws, tax obligations, regulations, and financial disclosures based on your jurisdiction; and
- if you become aware of any exploits, bugs or vulnerabilities, you must refrain from exploiting these for personal gain and contact salt@salt.space without delay.
Limitation of Liability
- To the maximum extent permitted by law, under no circumstances shall we, our affiliates, directors, employees, agents, partners, or licensors be liable to you or any third party for any direct, indirect, incidental, special, consequential, exemplary, or punitive damages whatsoever, including but not limited to damages for loss of profits, data, or other intangible losses, arising out of or related to your use of, or inability to use, the Salt Platform Suite, even if we have been advised of the possibility of such damages.
- Nothing in these Salt Platform Suite Terms limits or excludes any liability that cannot be limited or excluded by law.
Data Collection, Privacy, and User Consent
- We do not collect personal information in the provision of our Services.
- Where personal information is sent to us, such as by a user providing feedback to salt@salt.space, you consent to our collection, storage and use of your data only for as long as necessary to fulfil the purposes we collected it for.
- Non-personal data that we collect or interact with is used to:
- Operate and maintain the App
- Improve user experience and App performance
- Respond to your inquiries and provide support
- Some non-personal data (like crash reports or anonymised usage statistics) may be shared with analytics/protection providers to improve app performance and user security.
- We are committed to respecting your privacy and handling your information sensitively. We do not collect or store your Private Keys or Seed Phrases.

Prohibited Uses
- The Salt Platform Suite must not be used for any unlawful purpose including money laundering, terrorist financing, sanctions evasion, fraudulent schemes, or schemes designed to manipulate or exploit the Salt Platform Suite in unintended ways.
Third-party Add-on Services
- You may be able to access third-party services via the Salt Platform Suite, such as staking services, risk management services, DeFi services, or asset management services. Your access to and use of any third-party services is subject to the applicable third party’s terms of use and privacy policies, including any third party policies with respect to sanctions or other laws that may prohibit your access to and use of their services.
- At all times, you remain responsible for seeking your own independent and professional advice about your use of any third-party services accessed through Salt or independently of the Salt Platform Suite.
- Access to third-party services via the Salt Platform Suite is provided for convenience only, may not be maintained and may be removed from the Salt Platform Suite without notice.
- Unless expressly stated otherwise, we do not endorse and are not responsible for the services offered or provided by third-parties via the Salt Platform Suite and have no control over them.
- We have not conducted any security audit, bug bounty or formal verification (whether internal or external) of any third-party services. We do not guarantee that any third-party service provider will continue to maintain or support their software, their products, or continue to provide the same offerings.
Access via Third-Party Domains, SDKs, and Front Ends
- The Salt Platform Suite may be accessed by Downstream Clients indirectly, including through an Integrating Client’s own website, domain, application, or front end, or via an SDK or similar integration provided by Salt (each, a Third-Party Environment).
- As between Salt and the Integrating Client, responsibility for the configuration, security settings, and operation of the Third-Party Environment rests solely with the Integrating Client. The Integrating Client must implement and maintain the Services within the Third-Party Environment strictly in accordance with the Implementation Guidelines, including any requirements relating to the secure generation, storage, and use of authentication credentials.
- Salt is not responsible for, and excludes all liability (to the maximum extent permitted by law) arising from, any act, omission, misconfiguration, or security failure occurring within a Third-Party Environment that is outside Salt’s direct control, including any failure by the Integrating Client to follow the Implementation Guidelines, except to the extent such failure arises from Salt’s own failure to provide accurate and current Implementation Guidelines. The Implementation Guidelines are updated regularly and it is the responsibility of the Integrating Client to review for new and revised information. It is the Integrating Client’s responsibility to service and support its own Downstream Clients and to correctly implement, configure, and secure the Services in accordance with the Implementation Guidelines. Salt does not warrant that any particular implementation undertaken by an Integrating Client will be secure or fit for purpose.
- If you are an Integrating Client servicing Downstream Clients via a Bundled Integration, you and Salt are jointly and severally responsible for safeguarding all Authentication Credentials used in connection with the Services via that Bundled Integration, including Downstream Clients’ Authentication Credentials — provided that this joint responsibility does not extend to any failure arising solely from Salt’s own breach of its obligations under this Agreement or the Implementation Guidelines.
- To the maximum extent permitted by law, Salt will not be responsible or liable if any person accesses an Integrating Client’s or Downstream Client’s authentication credentials and initiates a transaction, or takes any action involving associated private keys or wallets, as a result of the Integrating Client’s implementation of the Services.
- The Integrating Client must, and must require each Downstream Client to, use reasonable means to secure all hardware, software, authentication credentials, and accounts used to access or use the Services via Salt software directly or via the Bundled Integration, consistent with industry-standard security practices and the Implementation Guidelines.
- The Integrating Client must inform each Downstream Client of, and require the Downstream Client to acknowledge, at a minimum:
- that the Integrating Client’s implementation and configuration of the Services (including its handling of private keys and any other authentication credentials) may affect the security of the Downstream Client’s Digital Assets;
- the risk of loss of access resulting from missing, lost, or unrecoverable authentication credentials, including a failure to maintain secure backups or recovery mechanisms;
- the risk associated with incorrect, unsecured, or shared contact details used for account recovery or notifications; and
- the risks associated with any key export or key import functionality made available via the Bundled Integration.
- It is the responsibility of each Downstream Client to conduct its own evaluation and due diligence of the Integrating Client’s implementation of the Services, including requesting from the Integrating Client such information as is reasonably necessary to satisfy itself that the Implementation Guidelines have been properly followed. Salt has no visibility over, and makes no representation or warranty as to, the adequacy of any specific Integrating Client’s implementation, and, to the maximum extent permitted by law, is not liable for any loss arising from a Downstream Client’s failure to conduct such due diligence.
- The Integrating Client must promptly notify Salt of any known or suspected theft, loss, or compromise of any information relating to its or its Downstream Clients’ use of the Services, including any Authentication Credentials, and must cooperate reasonably with Salt in investigating and responding to any such event.
- Each Account or sub-account made available under a Bundled Integration may only be accessed and used by the specific Integrating Client or Downstream Client for whom it was created, and must not be shared, sublicensed, or otherwise made available to any other person.
- The Integrating Client must implement a mechanism, prior to or at the point a Downstream Client first accesses or uses the Services via the Bundled Integration, by which the Downstream Client accepts Salt’s then-current terms and conditions governing use of the Services (Salt T&Cs), whether by click-wrap acceptance, in-application confirmation, or such other method as Salt may specify in the Implementation Guidelines. The Integrating Client must:
- not permit a Downstream Client to access or use the Services via the Bundled Integration unless and until that Downstream Client has provided such acceptance;
- maintain records sufficient to evidence each Downstream Client’s acceptance of the Salt T&Cs, and provide such records to Salt promptly upon request; and
- promptly notify Salt if it becomes aware that any Downstream Client is accessing or using the Services without having provided such acceptance.
Fees
- You are responsible for payment of any blockchain network or third-party fees to use our Services or undertake Activities via the Salt Platform Suite.
- Salt has no control over the fees charged by third-parties, or any blockchain networks you interact with.
- Salt may charge fees, or change fees at any time. Changes to fees charged by Salt will be communicated to users on the Website before taking effect.
Indemnity
- You agree to indemnify, defend, and hold harmless, Kagami Digital Pty Ltd (trading as Salt), its affiliates, directors, employees, agents and partners from and against any and all claims, liabilities, damages, losses, costs or expenses (including reasonable legal fees) arising out of or in connection with:
- your use or misuse of Salt;
- your violation of these Salt Platform Suite Terms;
- your breach of any applicable law or regulation; or
- your violation of any rights of a third party.
Company Visibility of Accounts, Policies, and Organisations
- Company Visibility. The Integrating Client acknowledges and agrees that, notwithstanding the operation of the Services via a Bundled Integration, Salt will have, and retains the ability to access, visibility of all accounts, policies, and organisations created, configured, or operated by or on behalf of the Integrating Client and its Downstream Clients in connection with the Services, including for the purposes of providing, securing, monitoring, and supporting the Services.
- Reduction of Company’s Rights. Nothing in this clause limits any other right of Salt to access, use, retain, or disclose such information under this Agreement, Salt’s Privacy Policy, or applicable law.
Severability
- If any provision of these Salt Platform Suite Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
Governing Law
- Your use of the Salt Platform Suite and these Salt Platform Suite Terms are governed by the laws of New South Wales, Australia.
Dispute Resolution
- Before commencing any legal proceedings arising from or relating to these Salt Platform Suite Terms, you agree to first attempt to resolve the dispute informally and in good faith. If a resolution is not reached within ninety (90) days, either party may then seek resolution through the courts of New South Wales, Australia.
Definitions
- For the purposes of these Salt Platform Suite Terms:
- Self-Custodial
- You, and only you, have control of your Private Keys and crypto-tokens; Salt does not have access to or custody of your crypto-tokens or Private Keys.
- Private Key
- The unique cryptographic key* which authorises control over a balance of crypto-tokens represented at a public address of a blockchain. The Private Key must be kept private to maintain your exclusive ability to deal with your balance/s of crypto-tokens.
* A Private/Public Keypair represents an underlying signer to a Salt Account and is not to be confused with the Salt Account itself.
- Wallet
- A group of accounts whereby each account has its own blockchain address, Private Key and Public Key pair.
- Seed Phrase
- A sequence of words used to recover access to a wallet and its Private Keys.
- Organisation
- Any entity or group created via Salt for managing digital assets, and any collaborators and hosts of co-signers such as Robo Guardians within that group.
- Proposer
- A co-signer on a Salt Account that is not a Robo Guardian.
- Salt Platform Suite
- The combined suite of the following software:
- Salt Web Application
- Salt Shard Registry
- Salt Robo Guardian Infrastructure
- Salt APIs
- Salt SDK
- Salt Web Application
- The Salt application hosted at https://app.salt.space which includes a front end browser application with a server side policy and wallet engine
- Salt Shard Registry
- A smart contract which contains encrypted data relating to the key shards for each proposer on a Salt Account.
- Salt Robo Guardian Infrastructure
- Self-custodial signer that holds some key material for every Salt Account that an organisation has created. The codebase for this infrastructure is publicly available software and maintained by Kagami Digital Pty Ltd. It can be hosted on a variety of cloud and physical hardware platforms that support Ubuntu Linux. Whilst Salt provides both documentation/guides along with recommended tooling to use, the hosting decisions are ultimately up to each organisation. Each organisation is entirely responsible for their own robo guardian (colloquially referred to as “robo”, “robos” or “robo guardians” on Salt Socials).
- Salt APIs
- RESTful API layer used to communicate with;
- users via their web browser
- asset management agents
- third parties offering services to Salt.
- Salt SDK
- Javascript package for integration of Salt platform by third parties. It is offered in addition to the API layer to increase integration speed and reliability.
- Integrating Client
- A third party that is authorised by Salt to make the Services available to its own clients, customers, or end users, whether by embedding, white-labelling, or otherwise integrating the Services into its own domain, application, front end, or software development kit (SDK) (a Bundled Integration).
- Downstream Client
- Any person or entity that accesses or uses the Services indirectly through an Integrating Client’s Bundled Integration, including end users of an Integrating Client’s own product. This includes, without limitation, an end user of an Integrating Client’s own website, application, or product where the Services have been embedded, white-labelled, or otherwise integrated via SDK or similar means. A Downstream Client is not a direct customer of Salt and, unless expressly stated otherwise in this Agreement, has no contractual relationship with Salt.
- Implementation Guidelines
- Salt’s then-current technical documentation, security guidelines, and any other implementation requirements notified by Salt from time to time.
- Website
- The website that is hosted at https://salt.space, including the linked Salt documentation.

- Salt Account
- A blockchain based, EVM externally-owned account (EOA) that is controlled by multiple underlying signers, each with their own individual EOA. The underlying signers participate in cryptography techniques to produce valid signatures for blockchain based transactions.
